1. General provisions
These general terms and conditions of sale (hereinafter, “General Terms”) apply to all sales of products (hereinafter, “Products” or “Product”) purchased on the internet website http://www.vabene.it/
The use of the distance selling service described in these General Terms is reserved exclusively to consumers (hereinafter, "Customers" or the "Customer"), defined as natural persons acting for purposes other than those connected with any trade, business or professional activity they may conduct.
This contract is available only in the Italian language.
Customers must read carefully the General Terms that are available on the Website for download, storage and reproduction by Customers pursuant to art. 12 of Legislative Decree n. 70, of 9 April 2003.
Contracts closed with Vabene S.r.l. through the Website are governed by Italian law and, specifically, by Legislative Decree n. 206 of 6 September 2005 ("Consumer Code") and by Legislative Decree n. 70 of 9 April 2003 (hereinafter, "E-commerce Decree").

Information regarding the Vabene Products offered for distance selling through the Website is available on the Website, on the pages dedicated to each Product. This information is provided pursuant to articles 52 and 53 of the Consumer Code.

4. Price
Products price is shown in euro on the Website. Prices shown include VAT at the currently applicable rate. Any change in the applicable rate may affect the price of the Products. Prices are subject to change at any time. Applicable prices are in any case those in force on the day and at the time when orders are confirmed by Customer. Delivery of Products to Italian addresses is free, while for delivery to European countries Customers will be charged 15 euro and to countries outside Europe 20 euro. Customer will be charged delivery costs as shown in the electronic order form. Unit prices, together with total price, will be shown again separately in the electronic order confirmation. Only upon specific request in writing of Customer, Vabene will issue a purchase invoice. Prices are subject to change. In any case, changes will not be applied to orders which have already been confirmed with an order confirmation sent by e-mail.

5. Orders
Key features and price for each Product are shown in the relevant section of the Website.
In order to purchase a Product, Customers must complete and submit to Vabene the electronic order form (the “Order”) by following the instructions provided in the Website.

Orders include:
information and pictures of each Product and its price;
means of payment available to Customers;
the relevant shipping and delivery costs;
Customers must place Products in the “shopping cart” and, after reading the General Terms, with specific reference to amounts due for delivery costs, how to exercise the right to cancel and to the processing of personal data, they must select the desired payment method and choose the option "send order".
Prior to submitting a purchase order, Customers will have the opportunity to correct any errors made in completing the form by following the appropriate amendment procedure provided in the Website. Specifically, Customers may amend the quantity of Products to be purchased, by adding or removing one or more Products to/from the “shopping cart”.
By sending an order, Customers acknowledge and represent to have read all information provided during the purchasing procedure and their full acceptance of these General Terms.
6. Payment methods
Payment of Product price and relevant shipping and delivery costs may be made by Customers by one of the methods offered in the order form they will find in the Website and which are summarized below.
PayPal Customers may pay by credit card or by using their PayPal account. At no time during the purchase procedure, Vabene can access the details of any credit cards used by Customers (such as credit card number or expiry date) which are transmitted via secure connection directly to the website of the entity that manages the electronic payment (bank or PayPal). No computer archive of Seller’s will retain such information.
Bank transfer
Customers who should elect to pay the amount due through bank transfer will receive from Vabene, at the email address specified by Customer when filling out an Order, the details of the bank account where the payment may be made, together with an acknowledgement of receipt of the Order.

7. Order confirmation
Pursuant to the provisions of art. 53 of the Consumer Code, Customers will receive by e-mail confirmation that the Order has been received. This order confirmation will include a summary of the information already contained in the Order as well as a reference to these General Terms and information regarding terms and methods for the exercise of the right to cancel. Seller may decline to process any purchase orders when there are not sufficient guarantees of solvency, when orders are incomplete or incorrect, or when Products are no longer available. In these instances, Seller will inform Customer by e-mail that the contract has not been closed and that Seller has not followed through with the Order, specifying the reasons of any such occurrence. In this instance, any preauthorized amount on the means of payment of Customer will be released.
If a Product described on the Website is no longer available or becomes available for sale after an Order has been sent, Seller will inform Customer, promptly and in any case no later than 30 days after the day following that on which Customer placed an Order, of the unavailability of any Product ordered. In this instance, any preauthorized amount on the means of payment of Customer will be released.
Vabene reserves the right to refuse to process orders from any Customer with whom a legal dispute concerning a previous order is current. This applies also to all instances where Vabene deems a Customer to be untrustworthy, including, without limitation, by reason of previous breaches of contractual provisions for online purchases on the Website or for any other valid reason, especially if Customer was involved in fraudulent activities of any kind.
8. Cancellation rights
Pursuant to and by effect of articles 64 and 66 of Legislative Decree n. 206 of 6 September 2005 relating to the exercise of the right to cancel any distance contract or contractual proposal, Customers may exercise their cancellation right within 15 (fifteen) business days from the date of receipt of the relevant Products, by sending a written notice, by registered letter with advice of receipt to the following address:

Such notice shall include:
the express intention of Customer to exercise the cancellation right provided by the Consumer Code;
list of Products with reference to which Customer wishes to exercise a cancellation right;
the order number issued at the time of the relevant purchase; details of Customer’s bank account.
The notice may be sent within the same term also by cable or by fax to +39 0229061184, provided that this is confirmed by a registered letter with advice of receipt within 48 (forty-eight) hours.
In the event of exercise of the cancellation right, Customer shall arrange for the Products to be returned, at own expense, within 10 (ten) working days of the date of receipt of the Products, by sending same by insured prepaid parcel post to the above address.
The cancellation right is subject to the following conditions:
Products must be returned whole;
Products must not have been used, worn or damaged;
Products must be returned in their original packaging;
Products must be returned to Seller in a single shipment. Seller reserves the right not to accept Products from a single Order if returned and shipped at different times.
Regarding compliance with the term allowed to return the Products, Products are deemed as returned upon their delivery to the accepting post office or carrier. Customer must return Products in their original packaging, complete in all their parts and accompanied by the relevant shipping note / packing list attached to the Products at the time of delivery.
Seller will refund Customer by bank transfer within 30 (thirty) days from the date of receipt of the notice informing of the exercise of the cancellation right, provided the Products have also been received intact and in good condition.

9. Transport and delivery
Products purchased on the Website shall be delivered to the address specified by Customer. At the time of delivery, the signature of an adult over 18 years old will be required. No delivery shall be made to post office boxes.
Delivery costs shall be charged to Customer and separately shown on the Website and on the order form.
Deliveries are made within 5 business days to addresses in Italy, 10 business days to addresses in European countries and 20 business days in countries outside Europe.
Delivery of Products will be made to Customer personally or to a person appointed by Customer at the address of recipient as specified in the order. Upon delivery of Products by Courier, Customer must check that the number of items being delivered matches the information contained in the transport document and that the package is intact or not tampered with. Any damages to the package and/or to the Products or any discrepancy in the number of items must be immediately reported and “goods received unchecked” written on the Courier’s proof of delivery form. After signing the Courier’s form, Customer may not make any claim regarding the appearance of the delivered package. In the event that, for reasons outside our control, Customer should not be traceable at the time of delivery, Customer may contact the offices of courier at the place of delivery to agree on another attempt at delivery or on a pick-up at the offices of the courier.

Products sold by Vabene are covered by the statutory warranty for lack of conformity as provided under articles 128-135 of the Consumer Code. The statutory warranty covers flaws/defects, existing at the time of delivery of Products, which should emerge within two years after the relevant delivery. In the event of lack of conformity of a Product, Customer is entitled to have the Products brought into conformity, free of charge, by repair or replacement, or, in the instances specified by law, to an appropriate price reduction or to termination of contract. A minor lack of conformity in any case will not entitle Consumer to terminate the contract. Customer must notify Seller of defect, under penalty of forfeiture, within two months of the date when the defect is discovered; actions against Seller shall in any case lapse after twenty-six months from delivery of the relevant Product.

13. Privacy
Pursuant to the provisions of Legislative Decree 196/2003, setting down the “Code regarding the protection of personal data”, Vabene as Data Controller, collects and processes Customers’ personal data solely for the purposes described in the Privacy Policy. The processing of Customers’ personal data will adhere to principles of correctness, lawfulness and transparency while the confidentiality of the data and the rights and fundamental freedoms of data subjects will be safeguarded in compliance with current provisions of law on the security and protection of personal data.

14. Amendments and updates
Seller may change or amend these General Terms of Sale at any time. Accordingly, Customers will be asked to accept exclusively the General Terms of Sale in force at the time of the relevant purchases. Any new General Terms of Sale will be effective from the date of their publication on the Website and with reference to purchase orders submitted following that date.
15. Applicable law and jurisdiction
These General Terms are governed by Italian law and must be interpreted according to Italian laws.
Any disputes arising from the interpretation, validity and/or enforcement of these General Terms shall be submitted to the exclusive jurisdiction of the court of the place where Customers have their residence or registered address, if these are located in the territory of the Italian Republic.

1. Disposizioni generali
Le presenti condizioni generali di vendita (di seguito, "Condizioni Generali") si applicano a tutte le vendite di prodotti (di seguito, "Prodotti" o "Prodotto") acquistati attraverso il sito internet http://www.vabene.it/
L'utilizzo del servizio di vendita a distanza descritto nelle presenti Condizioni Generali è riservato esclusivamente ai consumatori (di seguito, "Clienti" o il "Cliente"), intesi come le persone fisiche che agiscono per scopi estranei alla propria attività commerciale, imprenditoriale o professionale eventualmente svolta.
La lingua a disposizione per concludere il contratto è l'italiano.
Il Cliente è tenuto a leggere attentamente le Condizioni Generali che sono state messe a sua disposizione sul Sito, al fine di consentirne la memorizzazione e la riproduzione da parte del Cliente ai sensi dell'art. 12 del Decreto Legislativo 9 aprile 2003, n. 70.
I contratti conclusi con Vabene S.r.l. attraverso il Sito sono disciplinati dal diritto italiano e, in particolare, dal Decreto Legislativo 6 settembre 2005, n. 206 ("Codice del Consumo") e dal Decreto Legislativo 9 aprile 2003, n. 70 (di seguito, "Decreto E-commerce").

3. Informazioni relative ai Prodotti
Le informazioni relative ai Prodotti Vabene suscettibili di vendita a distanza attraverso il Sito sono disponibili sul Sito, nella pagina relativa a ciascuno Prodotto. Le predette informazioni sono fornite in conformità agli articoli 52 e 53 del Codice del Consumo.

4. Prezzo
Il prezzo dei Prodotti, espresso in euro, è quello indicato sul Sito per il Prodotto corrispondente. Il prezzo indicato include l’IVA al tasso attualmente in vigore. Ogni eventuale variazione del tasso applicabile potrà ripercuotersi sul prezzo dei prodotti. I prezzi sono soggetti a modifica in qualsiasi momento. I prezzi applicabili sono comunque quelli in vigore nel giorno e nell’ora in cui l’ordine viene convalidato dal Cliente.
La consegna dei Prodotti in Italia è gratuita, mentre per i paesi dell’Europa è prevista a carico del Cliente una spesa di euro 15, e nei paesi fuori dall’Europa una spesa di euro 20.
Le spese di consegna sono a carico del Cliente e sono indicate nel modulo d’ordine in formato elettronico. I prezzi unitari, unitamente al prezzo totale, saranno ribaditi in modo separato nel messaggio elettronico di conferma di acquisto. Solo su specifica richiesta scritta del Cliente, Vabene emetterà regolare fattura di acquisto.
I prezzi sono soggetti a mutamenti, che comunque non verranno applicati ad ordini già confermati con una mail di conferma d’ordine.

5. Ordine dei Prodotti
Le caratteristiche essenziali e i prezzi dei Prodotti sono riportati nell'offerta relativa a ciascun Prodotto.
Per l'acquisto dei Prodotti, il Cliente dovrà compilare e inviare a Vabene il modulo d'ordine in formato elettronico (l’“Ordine”), seguendo le istruzioni contenute nel Sito.
Nell’Ordine sono contenuti:
informazioni e le immagini di ciascun Prodotto ed il relativo prezzo;
i mezzi di pagamento che il Cliente potrà utilizzare;
i relativi costi di spedizione e consegna;
Il Cliente dovrà mettere il Prodotto nell'apposito "carrello" e, dopo aver preso visione delle Condizioni Generali, con particolare riferimento al contributo per le spese di consegna e alle modalità di esercizio del diritto di recesso, e al trattamento dei dati personali, dovrà selezionare la modalità di pagamento desiderata e scegliere l'opzione "invia ordine".
Prima di inoltrare il proprio ordine di acquisto il Cliente avrà la possibilità di correggere eventuali errori di inserimento dei dati seguendo l'apposita procedura di modifica contenuta nel Sito. In particolare, il Cliente ha la facoltà di modificare la quantità dei Prodotti che intende acquistare, aggiungendo o eliminando uno o più Prodotti dal "carrello".

6. Modalità di pagamento
Per il pagamento del prezzo dei Prodotti e delle relative spese di spedizione e consegna il Cliente potrà utilizzare una delle modalità indicate nel modulo d’ordine del Sito e che qui di seguito sono riepilogate.
Paypal
Il Cliente potrà effettuare il pagamento utilizzando la carte di credito o un account Paypal.
In nessun momento della procedura di acquisto Vabene è in grado di conoscere le informazioni relative alla carta di credito (ad esempio, il numero della carta di credito o la data della sua scadenza), trasmesse tramite connessione protetta da protocollo crittografato direttamente al sito del soggetto che gestisce il pagamento elettronico (istituto bancario o a Paypal). Nessun archivio informatico del Venditore conserverà tali dati.
Bonifico bancario Se il Cliente intende utilizzare il pagamento mediante bonifico bancario, Vabene invierà all’atto di conferma di ricezione dell’Ordine, all’indirizzo mail indicato dal Cliente in sede compilazione dell’Ordine, le coordinate bancarie a cui potrà essere effettuato il versamento del prezzo.

7. Conferma di ricezione dell'ordine
In conformità a quanto disposto all'art. 53 del Codice del Consumo, il Cliente riceve a mezzo email, la conferma di ricezione dell'Ordine, contenente un riepilogo delle informazioni già contenute nell’Ordine oltreché il rimando alle presente Condizioni Generali e le informazioni sulle condizioni e le modalità di esercizio del diritto di recesso.
Il Venditore potrà non dar corso agli ordini d’acquisto che non diano sufficienti garanzie di solvibilità o che risultino incompleti o non corretti ovvero in caso di indisponibilità dei Prodotti. In questi casi, il Venditore provvederà ad informare il Cliente per posta elettronica che il contratto non è concluso e che il Venditore non ha dato seguito all’Ordine specificandone i motivi. In tale ipotesi la somma precedentemente impegnata sul mezzo di pagamento del Cliente verrà disimpegnata.
Qualora i Prodotti, presentati sul Sito, non siano più disponibili o in vendita successivamente all’invio del l’Ordine, sarà cura del Venditore comunicare al Cliente, tempestivamente ed in ogni caso entro 30 giorni a decorrere dal giorno successivo a quello in cui il Cliente ha trasmesso l’Ordine, l’eventuale indisponibilità dei Prodotti ordinati. In tale ipotesi la somma precedentemente impegnata sul mezzo di pagamento del Cliente verrà disimpegnata.
Vabene si riserva il diritto di rifiutare ordini provenienti da un Cliente con cui sia in corso un contenzioso legale relativo ad un precedente ordine. Ciò si applica ugualmente a tutti i casi in cui Vabene ritenga il Cliente inidoneo, ivi incluso, a titolo esemplificativo, il caso di precedenti violazioni di condizioni di contratto per l’acquisto online sul Sito o per qualsivoglia altra legittima motivazione, soprattutto qualora il Cliente sia stato coinvolto in attività fraudolente di qualsiasi genere.

8. Diritto di recesso
Ai sensi e per gli effetti degli artt. 64 e 66 del D. Lgs. 6 settembre 2005 n. 206 relativi all’esercizio del diritto di recesso nei contratti o proposte contrattuali effettuate a distanza, il Cliente potrà esercitare il diritto di recesso entro il termine di 15 (quindici) giorni lavorativi, decorrenti dalla data di ricevimento dei Prodotti, inviando al seguente indirizzo una comunicazione scritta, mediante lettera raccomandata a.r.

Tale comunicazione dovrà contenere:
la manifestazione di volontà del Cliente di avvalersi del diritto di recesso contemplato dal Codice del Consumo;
l’indicazione dei Prodotti per i quali il Cliente vuole avvalersi del diritto di recesso;
il numero progressivo d’ordine rilasciato al momento dell’acquisto;
i dati relativi al conto corrente bancario del Cliente.
La comunicazione può essere inviata entro lo stesso termine anche a mezzo telegramma o fax al numero +39 0229061184, a condizione che sia confermata mediante lettera raccomandata a.r. entro le 48 (quarantotto) ore successive.
Nel caso di esercizio del diritto di recesso, il Cliente dovrà provvedere, a propria cura e spese, alla restituzione dei Prodotti entro il termine di 10 (dieci) giorni lavorativi decorrenti dalla data di ricevimento dei Prodotti, mediante invio degli stessi, a mezzo pacco assicurato in porto franco, all’indirizzo sopra indicato.
Il diritto di recesso è sottoposto alle seguenti condizioni:
i Prodotti resi vanno restituiti nella loro interezza;
i Prodotti resi non devono essere stati utilizzati, indossati, o danneggiati;
i Prodotti resi devono essere restituiti nella loro confezione originale;
i Prodotti resi devono essere inviati al Venditore in una sola spedizione. Il Venditore si riserva il diritto di non accettare Prodotti di uno stesso Ordine resi e spediti in momenti diversi;
Ai fini della scadenza del termine, i Prodotti si intendono restituiti nel momento in cui vengono consegnati all’ufficio postale accettante o allo spedizioniere. Il Cliente è tenuto a restituire i Prodotti nella confezione originale, integra in tutte le sue parti e accompagnati dalla bolla di consegna/accompagnamento merci allegata ai Prodotti al momento della consegna.
Il Venditore provvederà al rimborso al Cliente mediante bonifico bancario entro 30 (trenta) giorni dalla data di ricezione della comunicazione dell’esercizio del recesso, a condizione di aver altresì ricevuto i Prodotti integri e in buono stato di conservazione

9. Trasporto e consegna
I Prodotti acquistati sul Sito saranno consegnati all'indirizzo indicato dal Cliente. Al momento della consegna sarà necessaria la firma di un adulto maggiore di anni 18. Non saranno effettuate consegne a caselle postali.
Le spese di consegna sono a carico del Cliente e sono distintamente evidenziate sul Sito e nel modulo d'ordine.
Le consegne avvengono nell'arco di 5 giorni lavorativi in Italia, 10 giorni lavorativi nei paesi dell’Europa e 20 giorni lavorativi nei paesi al di fuori dell’Europa.
Per la consegna della merce è necessaria la presenza del Cliente o di un suo incaricato all'indirizzo del destinatario indicato nell'ordine. Al momento della consegna della merce da parte del Corriere, il Cliente è tenuto a controllare che il numero dei colli in consegna corrisponda a quanto indicato nel documento di trasporto e che il pacco risulti integro o non alterato. Eventuali danni al pacco e/o ai Prodotti o la mancata corrispondenza del numero dei colli devono essere immediatamente contestati tramite riserva di controllo scritta sulla prova di consegna del Corriere. Una volta firmato il documento del Corriere, il Cliente non potrà opporre alcuna contestazione circa le caratteristiche esteriori quanto del pacco consegnato.
Se per motivazioni non dipendenti dalla nostra volontà, il Cliente si sia reso irreperibili all'atto della consegna, potrà contattare la sede del corriere delluogo di consegna ed accordarsi per una consegna successiva o il ritiro presso la sede del corriere stesso.

10. Servizi di assistenza e garanzie

Si segnala inoltre che il centro per la riparazione o l’assistenza relativa ai Prodottiè presso il negozio Vabene in via Manzoni 39, 20122 Milano (Italia).
I Prodotti venduti da Vabene sono coperti dalla garanzia legale per i difetti di conformità di cui agli artt. 128 – 135 del Codice del Consumo. La garanzia legale copre i difetti di conformità, esistenti al momento della consegna del Prodotto, che si siano manifestati entro due anni dalla relativa consegna. In caso di difetto di conformità del Prodotto, il Cliente ha diritto al ripristino, senza spese, della conformità del medesimo mediante riparazione o sostituzione, ovvero, nei casi specificati dalla legge, ad una riduzione adeguata del prezzo o alla risoluzione del contratto. Un difetto di conformità di lieve entità non dà comunque diritto alla risoluzione del contratto. Il difetto deve essere comunicato dal Cliente al Venditore, a pena di decadenza, entro il termine di due mesi dalla data in cui ha scoperto il difetto; l’azione nei confronti del venditore si prescrive in ogni caso nel termine di ventisei mesi dalla consegna del Prodotto.

12. Proprietà intellettuale
Tutte le informazioni riportate nel Sito, tutti i marchi riprodotti nel Sito, e, più in generale sono riservati e protetti. È vietato riprodurre marchi e loghi in uso nel Sito: il Cliente inoltre si impegna a non copiare, modificare, tradurre, riprodurre, diffondere, vendere, pubblicare, valorizzare e diffondere in altro modo in un formato diverso in forma elettronica o di altro tipo in tutto o in parte delle informazioni (anche parziale) presenti sul Sito.

13. Privacy
In adempimento a quanto disposto dal D. Lgs. 196/2003, recante il “Codice in materia di protezione dei dati personali” Vabene in qualità di Titolare del Trattamento dei dati, raccoglie e tratta i dati personali del Cliente limitatamente alle finalità descritte nella Informativa sulla Privacy. Il trattamento dei dati personali del Cliente sarà improntato ai principi di correttezza, liceità e trasparenza, e verrà realizzato tutelandone la riservatezza, i diritti e libertà fondamentali, nel rispetto della vigente normativa in materia di sicurezza e protezione dei dati personali.

14. Modifica e aggiornamento
Il Venditore può apportare modifiche o emendamenti alle presenti Condizioni Generali di Vendita in qualsiasi momento. Pertanto, sarà richiesto al Cliente di accettare esclusivamente le Condizioni Generali di Vendita in vigore al momento del relativo acquisto. Le nuove Condizioni Generali di Vendita saranno efficaci dalla data di pubblicazione sul Sito ed in relazione ad ordini di acquisto presentati successivamente a tale data.

15. Legge applicabile e foro competente
Le presenti Condizioni Generali sono regolate dalla legge italiana e devono essere interpretate in conformità con le leggi italiane.
Per le controversie derivanti dall'interpretazione, validità e/o esecuzione, delle presenti Condizioni Generali la competenza territoriale inderogabile sarà quella del giudice del luogo di residenza o di domicilio del Cliente, se ubicati nello Stato.
Qualora il Cliente agisca invece nell’esercizio della propria attività imprenditoriale, commerciale, artigianale o professionale, le parti consensualmente stabiliscono la competenza esclusiva del Foro di Milano.
